We represent buyers, sellers, investors, and financial advisors in significant and complex transactions carried out in Hungary. Generally, our team advises foreign entities who are making an acquisition in Hungary serving as their primary advisor throughout the transaction. This cross-border element requires us to regularly collaborate with some of our partner offices around the world.
The goal is always to find solutions to meet the needs of our clients. This involves and requires both thorough due diligence and/or a risk assessment to be carried out prior and during the transaction.
In the past, we have advised multiple pharmaceutical companies, technology companies, and both private equity and venture capital firms on acquisitions they are seeking to carry out involving Hungarian entities or individuals.
We serve as a counsel, and a business advisor through every stage of the deal which often times is indispensable for buyers or sellers who do not have any connected or knowledge of the Hungarian market.

Of course, we do not only focus on transactions that are cross-border in nature. We actively assists clients within the territory of Hungary as well and work on matters involving the formation of new entities, their separation, or their sale and/or purchase. Additionally, we have experience in the representation of entities and organizations within Europe, Asia, as well as North and South America.

The M&A practice is made of up of attorneys that are well versed in pharmaceuticals, medical devices, litigation, asset transfers, patents and trademarks, in addition to real estate and tax professionals which allows us to handle the deal from start to finish in-house without needing additional support from third parties.
One of the most crucial stages of any transaction – which determines the risks involved – is the due diligence stage. KNP regularly performs due diligence on transactions and advises clients on the risks in addition to the challenges that may arise down the line. We serve not only as a firm who conducts the due diligence, but through this gathering of information our attorneys are able to advise and provide clients with a roadmap on how best to move forward based on the information discovered during the process.
In addition to due diligence for M&A transactions, we have prepared due diligence reports for ongoing litigation matters in the United States, the United Kingdom, and numerous European Union member states where the litigation involved a Hungarian entity or individual.
We have performed due diligence in a variety of sectors, for a number of Fortune 500 companies that were seeking to establish themselves in the Hungarian market.
The risks involved during a transaction often emerge during the due diligence process, but for some entities who wish to streamline the process or assess the risks prior to the contracting phase, we provide pre-deal risk assessments to aid in the process. This approach allows buyers to gather as much information as possible before entering a negotiation phase or without showing their intended target their intent on purchasing or merging.
